Terms of sales
These terms govern services provided by Codetics, unless otherwise agreed in writing between the parties.
Scope of services
These terms cover software development, technical consulting, software architecture, audit, integration and product guidance services provided by Codetics.
Quotes and orders
Each service is subject to a quote, commercial proposal or written agreement specifying scope, deliverables, indicative timelines and financial terms.
An order is considered accepted after written approval from the client.
Pricing and payment
Prices are stated in the quote or commercial proposal. Invoicing, deposits and payment schedules are specified contractually.
Unless otherwise stated in the quote, invoices are payable upon receipt by bank transfer.
Late payment
Late payment may lead to late payment penalties, suspension of services and immediate payment of outstanding amounts.
For business clients, legally applicable collection compensation and late payment penalties may be charged.
Client obligations
The client agrees to provide the information, access, approvals, content and resources required for proper execution of the mission.
Delays in transmission or approval may affect delivery timelines.
Delivery and validation
Deliverables are provided according to the terms defined in the proposal. The client has seven calendar days to report justified reservations in writing.
Without reservations within this period, deliverables are considered accepted.
Intellectual property
Intellectual property rights in deliverables are transferred or licensed according to the quote, subject to full payment of amounts due.
Tools, libraries, know-how, pre-existing components and third-party elements remain subject to their respective rights.
Maintenance and support
Corrective maintenance, evolutionary maintenance or support are included only when explicitly provided for in the commercial proposal or a separate agreement.
Liability
Codetics is bound by a best-efforts obligation in performing its services. Its liability is limited to proven direct damages and to the amount actually paid by the client for the relevant service.
Codetics is not liable for indirect losses, operating losses, data loss, loss of profit or consequential damages.
Confidentiality
Each party agrees to keep confidential any non-public information received in connection with the mission.
Termination
Termination terms, notice periods, payment for services performed and return of materials are defined in the applicable proposal or contract.
Governing law and dispute resolution
These terms are governed by French law.
In the event of a dispute, the parties first seek an amicable resolution. Failing that, the dispute falls under the jurisdiction of the competent French courts.
